Terms of Service

1.Introduction and Acceptance

These Terms of Service ("Terms") are an agreement between you and Cars4Sure LLC, a Florida limited liability company, together with its affiliates ("Cars4Sure," "we," "us"). By accessing or using the Cars4Sure website, mobile applications, or any related service (together, the "Platform"), you agree to these Terms. If you do not agree, do not use the Platform.

The following documents are part of these Terms and are incorporated by reference:

• Section 7 of these Terms — applies to anyone who lists a vehicle

You must be at least 18 years old and able to form a binding contract to use the Platform. The Platform is not directed to children, and we do not knowingly collect information from anyone under 18.

2.What Cars4Sure Is — and Is Not

Cars4Sure is a listing and connection platform. We display vehicles offered by dealers and sellers and help buyers find and contact them.

All listing information — including price, condition, mileage, history, and availability — is supplied by the dealer or seller, not by Cars4Sure.

Where a listing or dealer is described as "verified," that refers to the specific checks described at the point the label appears (for example, confirmation of a dealer's license during onboarding). Verification is not an inspection of, or guarantee about, any vehicle's condition, history, title status, or availability.

Advertised prices do not include taxes, title, registration, license, documentary, or other government or dealer fees unless the listing expressly says so.

Terms of any sale are negotiated directly between buyer and seller. Perform your own due diligence before buying any vehicle: inspect the vehicle, verify title and history, and confirm the identity of the person you are dealing with.

3.Accounts

You may browse listings without an account. Certain features — such as ongoing messaging with a dealer or seller, saving vehicles, or listing a vehicle — require one.

• You agree to provide accurate, current, and complete information and keep it updated
• Keep your credentials confidential and do not share your account; you are responsible for all activity under it
• Report suspected unauthorized access immediately to support@cars4sure.com

We may deny, restrict, suspend, or terminate access to the Platform. For a material violation of these Terms or conduct that threatens other users, we may act immediately and without notice. For other terminations, we will give you reasonable advance notice.

4.Communications Consent

This section covers all communications from Cars4Sure — phone calls, text messages, and email.

4.1Your Consent

By providing your phone number, you consent to receive calls and text messages from Cars4Sure at that number, including calls and messages placed using an automatic telephone dialing system and calls using prerecorded or artificial voice messages. By providing your email address, you consent to receive email from Cars4Sure.

4.2Who May Contact You

This consent covers Cars4Sure LLC, its affiliates, and service providers sending communications on our behalf. In addition, when you send an inquiry about a listing, you consent to be contacted by that specific dealer or seller — including by call or text at the number you provided — about your inquiry, that vehicle, and comparable vehicles they offer. It does not authorize any other party to contact you. You may withdraw consent to a dealer's communications at any time by telling that dealer or by emailing support@cars4sure.com.

4.3Types of Communications

• Transactional: Account verification codes (OTP), password resets, security alerts
• Notifications: Listing updates, inquiry alerts, appointment reminders
• Marketing: Promotional offers and new features — sent only with your separate opt-in

One-time verification codes are sent only when a user initiates a login, account recovery, or security-verification request. These transactional messages are not recurring marketing messages and contain no promotional content.

4.4Frequency and Costs

Communication frequency varies with your account activity. Message and data rates may apply and are your responsibility. Cars4Sure is not responsible for carrier delays.

4.5Opting Out

• Recurring texts: reply STOP to opt out, reply START to resubscribe, or reply HELP for help
• Email: use the unsubscribe link in any marketing email
• Calls: tell the caller, or email support@cars4sure.com to be placed on our do-not-call list
• All channels: update your preferences in account settings

One-time verification codes are sent only in response to a user-initiated verification request. Users who previously opted out may need to reply START before another verification code can be delivered.

4.6Consent Is Not a Condition

Consent to receive marketing calls, texts, or emails — from Cars4Sure or from any dealer or seller — is not a condition of using the Platform, of contacting a dealer, or of any purchase. You may withdraw consent at any time; features that depend on SMS or email verification may become unavailable.

4.7Notices from Cars4Sure

We may deliver notices about the Platform or these Terms by email, by text, in-app, or by posting on the Platform. Keep your contact information current.

5.Recording and Location Consent

5.1Interaction Recording

To operate, support, secure, and improve the Platform, we and our service providers record how the Platform is used — including session replays and heatmaps that capture page views, clicks, scrolls, and text entered into the Platform's forms and fields.

5.2Chats and Calls

Conversations through the Platform's chat features (including any automated chat) are recorded and retained, and calls with Cars4Sure may be recorded, with notice where the law requires it.

5.3Your Consent

By using the Platform, you consent to the recording described in this section, and you waive, to the extent permitted by law, any claim that this disclosed recording constitutes unlawful interception, wiretapping, or eavesdropping under federal or state law, including the California Invasion of Privacy Act.

5.4Location

With your device's permission, we use your precise location to show nearby inventory and relevant results. You can turn this off in your device or browser settings at any time; the Platform still works with approximate location derived from your IP address. We may use aggregated or deidentified location data to understand market activity.

What we collect through these practices, and your privacy rights over it, are described in our Privacy Policy.

6.Acceptable Use

Use the Platform only for lawful purposes. Unless you are a dealer or seller acting under the Marketplace Rules, your use is limited to personal, non-commercial purposes. You may not:

• Misrepresent a vehicle, yourself, or any information you submit
• Harass or harm other users, dealers, or Cars4Sure personnel, or abuse the messaging system
• Access the Platform with any automated means — including bots, scrapers, spiders, or crawlers — or systematically extract, harvest, or republish listings or other Platform data
• Copy, frame, reverse engineer, or interfere with the Platform or its software
• Bypass or probe any security or access control, or impersonate any person or entity

We may remove content or restrict access for violations. Report violations to support@cars4sure.com.

7.Marketplace and Listings

The marketplace displays vehicles submitted by licensed dealers and by private sellers. Anyone who lists a vehicle must comply with the listing standards in this Section 7 and any applicable seller or dealer agreement.

7.1Dealer Listings

Licensed dealers must complete Cars4Sure's onboarding process and execute a Dealer Marketplace Agreement before listing. Dealers remain responsible for complying with all laws governing motor vehicle sales, including the FTC Used Car Rule (16 CFR Part 455).

7.2Private Seller Listings

Private sellers must:

• Be the titled owner of the vehicle or legally authorized to sell it
• Describe the vehicle accurately and completely, including known defects, damage history, and liens
• Upload real, unedited photographs of the actual vehicle
• Update or remove a listing within forty-eight (48) hours of the vehicle selling or becoming unavailable
• Handle negotiation, payment, and title transfer directly with the buyer — Cars4Sure is not a party to the transaction and does not process payments

A pattern of listings suggesting dealer-level activity may require dealer registration or result in account suspension.

8.Your Content

"Your Content" means anything you submit to the Platform — listings, descriptions, photographs, and messages.

You keep ownership of Your Content. You grant Cars4Sure a non-exclusive, worldwide, royalty-free license to host, store, reproduce, adapt for display, publish, and distribute Your Content for the purposes of operating, improving, and promoting the Platform, including displaying listings in Cars4Sure marketing. This license lasts while Your Content is on the Platform and for a limited period afterward as needed for backups, dispute records, and promotional materials already in circulation.

You represent that you own Your Content or have the right to post it, that it is accurate, and that it does not infringe anyone's rights or violate any law.

We have no obligation to monitor content, and we may remove any content at our discretion, with or without notice. Content posted by users is theirs, not ours, and does not reflect Cars4Sure's views.

9.Intellectual Property

The Platform — including its software, design, text, graphics, logos, and the Cars4Sure name and marks — is owned by Cars4Sure or its licensors. Nothing in these Terms grants you a license to any of it by implication or otherwise, except the limited right to use the Platform as these Terms allow.

The compilation of listings and related data on the Platform is owned by Cars4Sure as a collective work, separate from the individual listings within it.

Copyright Complaints

For copyright claims, see our DMCA Copyright Policy. Cars4Sure maintains a repeat infringer policy and terminates accounts of repeat infringers in appropriate circumstances.

10.Disclaimers

The Platform is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant the accuracy of listings; the condition, history, or availability of any vehicle; the conduct of any dealer, seller, or user; or that the Platform will be uninterrupted, secure, or error-free.

11.Limitation of Liability

To the maximum extent permitted by law, Cars4Sure shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages — including lost profits, revenue, goodwill, use, or data — arising from or relating to your use of or inability to use the Platform, under any legal theory, even if advised of the possibility of such damages.

This limitation covers, without limitation, claims arising from inaccurate listings; vehicle condition or mechanical failures; misrepresentations by dealers or sellers; platform outages, delays, or data errors; and unauthorized account access.

Cars4Sure's total aggregate liability shall not exceed the greater of (a) fees you paid Cars4Sure in the twelve (12) months before the event giving rise to liability, or (b) one hundred dollars ($100).

Cars4Sure is not a party to any transaction between users and has no liability for any dispute, claim, or damage arising from a transaction between a buyer and a dealer or seller.

Some jurisdictions do not allow certain exclusions or limitations. In those jurisdictions, our liability is limited to the fullest extent the law permits, and the rest of this section remains in effect.

12.Indemnification

You agree to indemnify, defend, and hold harmless Cars4Sure and its officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (a) Your Content; (b) your use of the Platform; (c) your violation of these Terms or of any law; (d) your violation of any third party's rights; or (e) any transaction between you and another user, dealer, or seller.

13.Third-Party Sites and Services

The Platform may link to third-party websites, including dealer websites reached from listings. Those sites have their own terms and privacy practices. Cars4Sure is not responsible for third-party content, prices, terms, availability, or conduct, and a link is not an endorsement.

14.Dispute Resolution

Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court.

Except as provided in the Dispute Resolution Policy, disputes between you and Cars4Sure will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) in Pinellas County, Florida. You and Cars4Sure each waive the right to a jury trial and to participate in a class, collective, or representative action.

You may opt out of arbitration by sending written notice to legal@cars4sure.com within thirty (30) days of creating your account.

The full procedures — including informal resolution first, governing law, and filing deadlines — are in the Dispute Resolution Policy, which is part of these Terms.

15.Termination

You may stop using the Platform at any time and may close your account in settings or by contacting support. We may suspend or terminate accounts as described in Section 3. Sections that by their nature should survive termination — including Sections 5 and 8 through 12, 14, and 16 — survive.

16.General

16.1Changes to These Terms

We may update these Terms. For material changes — including any change to Section 14 (Dispute Resolution) or Section 11 (Limitation of Liability) — we will notify you and ask you to affirmatively accept the new Terms before they apply to you. For non-material changes, we will post the updated Terms with a new version number and effective date; continued use after the effective date constitutes acceptance. Each version is dated and numbered.

16.2Severability

If any provision is found unenforceable, it will be limited to the minimum extent necessary and the rest of these Terms remain in effect.

16.3No Waiver

Our failure to enforce a provision is not a waiver of it.

16.4Assignment

You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets, with notice to you.

16.5Entire Agreement

These Terms, with the documents incorporated in Section 1, are the entire agreement between you and Cars4Sure about the Platform.

16.6Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules, except as the Dispute Resolution Policy provides otherwise.
